Patrick Closes on $500M Offering; Secures $1B Credit Facility

ELKHART, Ind. – Patrick Industries, Inc. (NASDAQ: PATK) announced the closing on Oct. 22 of its previously announced private offering of $500 million aggregate principal amount of 6.375% Senior Notes due 2032, at an issue price of 100% of the principal amount of the Notes, in a private placement exempt from registration under the Securities Act of 1933. 

Net proceeds from the offering, together with borrowings under the 2024 Credit Facility (as defined below), will be used to redeem all $300 million aggregate principal amount of the company’s 7.500% Senior Notes due 2027, repay a portion of the company’s borrowings under its existing senior secured credit facility and pay fees and expenses in connection with the foregoing, according to a release.

On Oct. 24, the company amended and restated its credit agreement to establish a new $1.0 billion senior secured credit facility consisting of an $875 million revolving credit facility (“2024 Revolver”), a $125 million term loan (“2024 Term Loan” and, together with the 2024 Revolver, the “2024 Credit Facility”) and a maturity date ending in October 2029. The 2024 Credit Facility replaces the company’s existing credit facility that was due to mature in August 2027.

RVIA: September Shipments Hold Steady at 24,595 Units

Results for the RV Industry Association’s September 2024 survey of manufacturers found that total RV shipments ended the month with 24,595 units, a decrease of (-0.4%) compared to the 24,700 units shipped in September 2023.

“Overall RV shipments are steady for the month of September, but remain on track for modest increases in 2024 over 2023,” said RV Industry Association President & CEO Craig Kirby. “RVing has an enduring appeal for families and individuals seeking flexible and affordable travel experiences.”

Towable RVs, led by conventional travel trailers, ended the month up 4.2% from last September with 22,279 shipments. Motorhomes finished the month down (-30.1%) compared to the same month last year with 2,316 units.

To date, all RVs are up 7.7% compared to the same period last year with 256,412 units shipped through September.

Park Model RVs finished September down (-12.0%) compared to the same month last year, with 294 wholesale shipments.

Cleer Vision Windows exhibited its Cleer View Frameless Window System with the Vista Trim Collection, an all-in-one solution that completes the exterior and interior finish of a vehicle. It boasts the market’s largest unobstructed, opening window, enhanced by a single-point operation that doesn’t intrude into the coach. The innovative Vista Trim Collection offers customizable color match and wood grain options, and it is available and adaptable to all current Cleer View Frameless Windows and all Cleer Vision windows produced prior. Additionally, the system includes standard roller shades and screens, providing a modern alternative to traditional pleated shades.

Dicor Products has reformulated its popular 502 self-leveling lap sealant, which is designed to deliver faster results and enhanced performance. For sealing around roof fixtures, vents, or edges, Dicor’s newly developed formula ensures superior protection while reducing curing time. Compatible with a wide range of RV roof materials, Dicor’s 502 self-leveling lap sealant is suitable for use with rubber, fiberglass, TPO, PVC and other common RV roof substrates.

Suburban showcased its new step offerings.

Suburban has redesigned its step offerings featuring a new light weight composite stair tread as well as 3- and 4-step options with hydraulic lift assist. The composite steps are available in wide and narrow configurations for 2-, 3- and 4-step sizes. The composite treads are resistant to surface scratches and other blemishes. The top surface has molded-in texture that eliminates the need for grip tape.

Velarium showcased a variety of awnings and awning accessories. Velarium’s Awning Roller Assembly Light Rail offers a more streamlined installation process by housing the canopy, LED lighting, and a channel to attach to the RV’s awning rail all in one easy-to-handle unit. Velarium’s Awning Cradle gives additional support to 20-foot and larger awnings, featuring a robust black powder-coated aluminum construction. Velarium’s aluminum awning wrap offers hardy protection for RV awnings by securely housing them when retracted against the RV, offering improved protection from external damage and severe weather. Velarium also debuted two new lighting options: a waterproof COB LED Strip Light, which significantly enhances external RV lighting while minimizing glare, and a LED RGB Strip Light, featuring a convenient wire lead and RF remote with a maximum brightness of 1800 lumens, depending on the color. For the Class B market, Velarium exhibited its lateral arm box awning designed for units without the head clearance required for vertical arm awnings.
