Lazydays: 8 Acquisitions Part of Sweeping Recapitalization

TAMPA, Fla. – Lazydays Holdings Inc. (NasdaqCM: GORV) today announced a series of transformative transactions designed to provide the company with a significantly strengthened financial foundation and a more focused dealership portfolio. These transactions, which include a comprehensive recapitalization and certain asset sales, will result in meaningful reductions in the company’s debt, interest and preferred stock dividend payments, substantial added cash to the balance sheet, and an improvement in the underlying earnings power of the business, according to a release.

Transaction Highlights

  • Lazydays agreed to sell seven dealerships, including real estate where applicable, and issue common stock to certain indirect subsidiaries of Camping World Holdings, Inc. (Camping World) for a combined $65.5 million, subject to conditions.
  • Lazydays agreed to sell one additional dealership asset to a separate buyer for $8 million, subject to conditions.
  • Lazydays closed a $30 million common equity PIPE at $1.03 per share with clients of Alta Fundamental Advisers and Coliseum Capital Management (collectively, the “PIPE Investors”).
  • Lazydays plan to launch a $25 million rights offering at $1.03 per share, allowing all its common stockholders (other than the PIPE Investors and Camping World) to purchase common stock at the same price as PIPE Investors, subject to the U.S. Securities and Exchange Commission declaring a registration statement on Form S-1 effective.
  • Lazydays agreed to exchange all outstanding convertible preferred stock for common stock at $1.03 per share, eliminating our preferred stock liquidation preference, preferred dividend requirement and other preferred stockholder rights, subject to conditions.
  • Lazydays executed an amendment to the credit facility with the company’s lender group led by Manufacturers and Traders Trust Company (M&T Bank), providing significant financial flexibility.
  • The transactions will collectively result in $65 million reduction of debt, elimination of $68 million preferred stock liquidation preference, and $16 million reduction of interest and preferred dividend payments.
  • Pro forma for the transactions (excluding proceeds and shares from the proposed rights offering), Lazydays is expected to have $35 million of cash on the balance sheet, debt of $61 million (excluding floor plan financings), and 119.5 million shares of common stock outstanding.

Asset Sales and Stock Issuance

Lazydays has entered into agreements to sell certain assets, subject to conditions. Under the terms of the agreements, Lazydays will sell seven dealerships, including owned real estate for three of the dealerships, and issue 9.7 million shares of common stock to Camping World for $65.5 million. Lazydays will also sell one dealership to a separate buyer for cash proceeds of $8 million, subject to conditions. These dispositions will create a leaner, more focused operational footprint for Lazydays comprised of 15 dealerships nationwide and over $95 million of owned real estate value across nine locations.

Comprehensive Recapitalization

In conjunction with the asset sales and stock issuance to Camping World, Lazydays has entered into securities purchase agreements with the PIPE Investors for the sale and issuance of $30 million of common stock through a private investment in public equity financing exempt from registration under the Securities Act of 1933 (the “PIPE”). The PIPE was priced at $1.03 per share, which will result in the issuance of 29.1 million new shares of common stock.

The company plans to file a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for a rights offering that will provide all common stockholders (other than the PIPE Investors and Camping World) with the opportunity to purchase shares of common stock at the same price per share as the PIPE Investors and Camping World, subject to the registration statement being declared effective by the U.S. Securities and Exchange Commission. Holders of the Company’s common stock (other than the PIPE Investors and Camping World) will receive rights to purchase an aggregate of $25 million of common stock at a price of $1.03 per share.

Lazydays has also entered into exchange agreements with the holders of the company’s outstanding Series A Convertible Preferred Stock (the “Preferred Stock”) to exchange all shares of Preferred Stock for 66.5 million shares of common stock (the “Preferred Stock Exchange”), eliminating the current accrued liquidation preference of the Preferred Stock of $68 million and annual dividend of $9 million, in a two-step exchange transaction, with the second exchange being subject to conditions.

Following closing of the PIPE, the Preferred Stock Exchange and the share issuance to Camping World as part of the asset sale, Lazydays expects to have 119.5 million shares of common stock issued and outstanding.

The company also executed an amendment to its syndicated credit facility led by M&T Bank, providing the Company with runway to execute its operational turnaround. Pursuant to the amendment, Lazydays received meaningful financial covenant flexibility through the first quarter of 2026.

Camping World to Acquire Seven Lazydays Retail Locations

LINCOLNSHIRE, Ill. – Camping World Holdings, Inc. (NYSE: CWH), the World’s Largest Recreational Vehicle Dealer, today announced that it has entered into an agreement to acquire the assets and certain real estate of seven dealerships from Lazydays Holdings Inc.

CWH estimates the transaction to be valued at approximately book value, the release continued, with an estimated total net cash outlay of between $10 million to $20 million after expected proceeds from normal course third-party real estate financing, according to a release. In lieu of goodwill consideration, Camping World has elected to maximize its optionality by having the deposit on the transaction convert to 9.7 million shares of Lazydays Holdings Inc. common stock upon closing of the transaction following receipt of necessary regulatory approvals.

Camping World estimates that the seven locations generated nearly $200 million of revenue on a trailing twelve-month basis, during a tough RV market. These locations carry a more traditional mix of travel trailer, fifth-wheel, Class B and Class C product from top OEM brands including Grand Design RV Co., THOR Industries and Forest River Inc.. The company estimates that the market size within a 50-mile radius of each dealership is a combined 65,000 plus new and used RV units sold annually, representing strategic market share growth opportunities for Camping World.

Go RVing Highlights RV Lifestyle, Travel Tuesday to Consumers

FAIRFAX, Va. – Go RVing is committed to keeping its audience up-to-date on trends and insights that impact the RV industry, according to a report on the News and Insights page of the RV Industry Association (RVIA) website.

In today’s edition, News and Insights reports on Go RVing’s “successful year of experiential events” and a travel trend known as “Travel Tuesday.”

Experiential events provide consumers with real-world opportunities to engage firsthand with RVs and share their experiences with others, becoming more likely to make a purchase themselves, and consumers who tour RVs at these events are often exploring an RV for the first time or are interested in newer RV models. Throughout the tour, audiences learn about the various RV types and discover that RV travel is a lot more affordable and accessible than they had realized.

RV units are provided for the experiential events by Go RVing’s dealer and manufacturer partners. 

In total, over 2 million people attended the various events and nearly 100,000 people stopped to tour the RVs.

“Thanksgiving is right around the corner, and with it comes other well-known shopping holidays like Black Friday and Cyber Monday. But did you know there’s also Travel Tuesday?” the report asks. 

Taking place the first Tuesday after Thanksgiving, Travel Tuesday shoppers can find deals on travel purchases, including hotel stays and airline flights. The day has been gaining a significant amount of interest among consumers in the last few years.

Search interest for “Travel Tuesday” rose more than 500% from 2021 to 2023, according to a report published by business consulting firm McKinsey & Company.

The report also states that the trend has been most popular among the United States and Canada. There is also increasing interest in Australia, the United Kingdom, the Netherlands, and Spain.

According to Sunset Magazine, Google Trends also has corroborated the data— searches for “Travel Tuesday” declined during the pandemic but rose significantly from 2022 and 2023.

“Travel Tuesday as a marketing concept is gaining traction. A day centered on travel deals seems like a potential fit for a moment when people are yearning to travel more than ever before but are often in search of discounts because of rising living costs,” says the McKinsey & Company report. 

The Travel Tuesday trend reflects Americans’ continued interest in exploring new destinations. This time of year presents an excellent opportunity for the RV industry to become involved in this trend by sharing the many appeals of the RV lifestyle to consumers.

This holiday season 36.5 million Americans plan to go RVing, with visiting family and taking road trips the most popular trip destinations according to a recent survey by the RV Industry Association.

Overall, RVing remains a popular travel option, with next year’s RV shipments expected to see continued growth.

Jellystone Symposium Focuses on Employee Development

Betsy Allen-Manning, the keynote speaker at Camp Jellystone’s annual Symposium, challenged Jellystone Park operators on Wednesday (Nov. 13) to take a close look at the work “culture” they create at their parks because it has a direct impact on their ability to attract and retain talented employees.

“Care about everyone and everything. A leader’s character is contagious,” she said, adding that it’s important for the leaders of each park to “invest in yourself to be the best you can be. … Develop yourself so that you can develop others.”

Allen-Manning is an internationally known leadership speaker, best-selling author, and company culture expert. Her specialty is helping leaders attract, engage and retain the best talent in a hyper-competitive marketplace. Her company, Destination Workplace, is one of the top leadership training companies in the Dallas area. Camp Jellystone invited her to be its keynote speaker because of the challenges park operators always face in attracting and retaining talented employees.

Often it is managers themselves who need training, Allen-Manning said, noting that most people could stand to improve their communication skills, their coaching skills, their time management skills and even their ability to delegate tasks effectively or simply manage change.

Allen-Manning cited Jellystone Park’s “core values” of committing to be the best in the industry, employee empowerment and team accountability as being noteworthy. But turning these values into reality requires more than writing them down.

“Ask (your employees), ‘What does it look like to share these core values in your role?’” she said.

In other words, in what specific ways can each employee apply a park’s core values to the work they do each day?

Equally important, Allen-Manning said, is recognizing the efforts employees are making to do good work.

‘Make appreciation part of your culture,” she said.

Allen-Manning even suggested having employees fill out an employee recognition questionnaire, which asks them about their favorite retail store, favorite coffee or tea, party spot and other favorite things because this information can help guide park operators when it comes time to reward their employees with gifts that recognize their efforts in a personal, meaningful way.

It’s not enough and may not even be appropriate, she added, to simply give out Starbucks gifts as small tokens for jobs well done, particularly when another type of gift could be a much more effective way to get the employee’s attention in a positive way.

Such efforts to recognize employees for jobs well done are important, Allen-Manning said, because “people will repeat what they are recognized for.”

Today’s younger employees also have different objectives when it comes to deciding where they want to work.

“People are no longer seeking to work ‘just’ for a paycheck,” she said.”They work to work at a ‘destination workplace.’”

A “destination workplace,” she added, is a place where employees feel valued, engaged and eager to contribute to the company’s long-term success. Jellystone Park locations that do a good job of attracting and retaining employees should market their efforts by sharing their employee reviews online because this is valuable information that can help with recruitment efforts, she said.

Allen-Manning also held a second keynote address later in the day that focused on how to resolve conflicts by understanding different personality types.

Camp Jellystone’s three-day Symposium concluded Wednesday night with the annual awards banquet, music and dancing.

The event took place at the Knoxville Convention Center in Knoxville, Tenn.
