Total revenue for the second quarter was $238.7 million compared to $308.4 million for the same period in 2023, a 22.6% decrease. Total revenue for the six months ended June 30, 2024 was $509.3 million compared to $604.0 million for the same period in 2023, a 15.6% decrease.
Net loss for the second quarter was $44.2 million compared to net income of $3.6 million for the same period in 2023. Adjusted net loss, a non-GAAP measure, was $18.4 million compared to adjusted net income of $3.9 million for the same period in 2023. Net loss per diluted share was $3.22 compared to net income per diluted share of $0.12 for the same period in 2023. Adjusted net loss per diluted share was $1.42 compared to adjusted net income per diluted share of $0.14 for the same period in 2023.
Net loss for the six months ended June 30, 2024 as $66.2 million compared to net income of $3.3 million for the same period in 2023. Adjusted net loss, a non-GAAP measure, was $46.5 million compared to adjusted net income of $5.1 million for the same period in 2023. Net loss per diluted share was $4.89 compared to net income per diluted share of $0.00 for the same period in 2023. Adjusted net loss per diluted share was $3.51 compared to adjusted net income per diluted share of $0.13 for the same period in 2023.
“Our team has focused on maintaining healthy vehicle inventory, improving F&I per unit and achieving substantial total gross margin improvement sequentially. However, the seasonal improvement in sales volume we had anticipated to occur in the second quarter did not materialize,” CEO John North stated in a release. “On a same-store basis, we saw a decline in both new and used unit volume relative to the first quarter, partially offset by significantly improved gross profit per unit sold reflecting the benefits of the inventory actions we took earlier this year. Our same store F&I was over $5,300 per unit, up 6.9%, despite average selling prices being lower by approximately 17% on a blended basis.
“We have continued to focus on maintaining our healthy inventory position while increasing our efforts to procure more used units directly from consumers as trade-ins on vehicle sales have been off approximately 50% compared to our historical averages,” he continued. “As of today, our new inventory is comprised of 26% model year 2025 units and 69% model year 2024 units, with less than 140 2023 units remaining. Also of note, over 75% of our inventory is towable product, up from 70% at the same time last year.”
Commenting on operational changes since the end of the second quarter, North stated, “Given the current unit sales volume, we have implemented further cost reduction actions in August that should be substantially complete by the end of September. We anticipate these decisions will save approximately $25 million annually. We have also closed our Waller, Texas dealership, and consolidated our retail operations from two locations to one in the Surprise, Arizona market.
“While these decisions are painful, they are necessary,” he continued. “Despite these two store actions, we remain enthusiastic about operating the rest of our best-in-class locations and will continue to adjust our expense structure as necessary to seek to match the revenue opportunities available. We would note that we are not contemplating, nor are we in discussions with counterparties regarding strategic transactions involving significant store divestitures or business combinations at this time.
“As usual, I want to thank our entire team for delivering the improvements in operating results that are within our control and providing exceptional customer experiences as we await the market recovery. We remain confident in the earnings power of our company and look forward to unlocking its full potential as the industry recovers,” North concluded.

Balance Sheet and Strategic Update
After the end of the second quarter, we executed a temporary waiver related to our required financial covenants as of June 30, 2024. This waiver was approved by 100% of the lenders in our syndicated credit facility and provides additional runway to negotiate an amendment to the facility.
Earlier this week, we received a nonbinding commitment from the clients of Coliseum Capital Management to provide an additional $5 million in capital that will be added by increasing the mortgage loan facility we established in December 2023. The terms of the incremental advance are substantially similar to the terms of the existing mortgage loan facility and require no additional collateral to be added to the pool. In connection with the incremental advance, it is contemplated that Lazydays will issue warrants to clients of Coliseum Capital Management to purchase 666,667 shares of common stock at a price of $5.25 per share, subject to certain adjustments.
The special committee of independent directors established by our board of directors was advised by Stoel Rives LLP. Upon review, the special committee unanimously approved the nonbinding commitment to increase to the size of the mortgage loan facility and related warrant issuance.
Additionally, the special committee continues to seek sources of incremental capital from investors and has engaged Miller Buckfire, a Stifel company, to assist in the process. While we remain open to other potential transactions that are in the best interest of our shareholders, at the present time we have determined the most prudent course of action is to focus on strategic financing so that we maintain scale and gain additional flexibility to operate the attractive platform of dealership assets in our portfolio.
As a result of the upcoming expiration of the temporary waiver to our credit facility, we have presented our long-term debt in current portion as of June 30, 2024. We note that to date our lenders have not accelerated any amounts due or made any repayment demands beyond routine amounts required in the normal course of business.

The focus at booth 65 to 74 in hall 4 will be on the AC135 from August 29 to 31. The system supplier is now expanding the versatile product family with two new variants featuring a heat pump and presents them to the public on site for the first time.
The Indian e-bus market is growing rapidly. With government-led initiatives, the country is driving forward the electrification of public transport with a focus on large cities. Eberspaecher has been responding to this trend for some time with the AC135 roof mounted air conditioning system. With different variants, the thermal management expert offers a cost-effective and standardized platform for all bus types and performance classes, including electric drives. Now, Eberspaecher is adding two heat pump models to the AC135 family. The compact dimensions of 2.95 m in length and 29.5 cm in height are not the only convincing features. Their simplified refrigerant reverse cycle is even more reliable. In addition, it saves weight to only 202 kg in the lightest version. The AC135 Heat Pump models provide cooling capacities of 30 to 38 kW and heat between 22 and 26 kW via the heat pump, depending on the variant. Production will start Mid 2025 at the Eberspaecher plant in Bangalore. As one of the sponsors of the Prawaas 4.0, Eberspaecher is underlining the importance of the company’s business in this market.
Greater efficiency through battery cooling The AC135 all-electric versions with and without heat pump are all optionally available with an integrated module for battery cooling. This allows the temperature of the vehicle battery to be kept constant, resulting in greater efficiency and a longer battery life. Integrating the battery module directly into the air conditioning system saves valuable space on the roof of the bus and reduces the overall weight of the vehicle. In addition, the electric thermal management system also has an integrated compressor and an inverter. With their modular approach, all AC135 versions share the same roof footprint. Without changing the design of their electric bus, this allows manufacturers to install a system with or without a heat pump for different climate regions.
A versatile product family for all drive types Overall the AC135 platform convinces with its lightweight construction that offers lower consumption rates. It provides short installation times and a small roof footprint due to the reduced length, in its smallest version only 1.91 m. The parallel high one-piece design combines the advantages of a short parallel unit with side or center return air grilles for easy access and serviceability. Depending on the requirements, all variants of the product family are available with a brushed or brushless motor. The unit runs with a variety of controls, including the E-Control from Eberspaecher. For conventional drives five variants of the AC135 Conventional bring 25 to 50 kW of cooling performance. They feature four to eight blowers for passenger compartments of different sizes.
One unit for all coaches In addition, the AC332-345 will be on display at Prawaas 4.0, as a cost-effective high-capacity inline unit for coaches with conventional drive. It provides 32 to 50 kW cooling performance for use in tropical and high ambient zones. With central or offset return air grilles, it fits onto both standard and sleeper coach applications, where the aisle is not situated in the middle of the vehicle. The development by the Indian Eberspaecher subsidiary for the local coach market is the third generation of a proven product series with improved reliability and well-known performance.

Designed to meet the evolving needs of RV consumers, each 2025 model delivers unparalleled quality, affordability, and versatility, ensuring a memorable experience for all travelers, according to a release from the Winnebago Industries subsidiary.
The new Transcend Xplor line offers innovative solutions tailored to various consumer preferences and budgets. “Due to what we are seeing in the marketplace, and with inflation hitting all Americans, I think what is more important than ever is offering quality-built, affordable products that a multitude of families can afford,” said Matt Eppers, Transcend product manager.
With GVWRs ranging from under 5,000 pounds to 10,000 pounds, these travel trailers provide options for those who may not own a truck to haul their RVs.
Transcend One – These single-axle RVs boast a GVWR under 5,000 pounds, making them easily towable. Features include a true 60 x 80 queen-sized bed, 13,500 BTU Furrion air conditioner, and heated, enclosed underbelly with pass-through storage. “We understand that when you are camping, you bring a lot of equipment, so we want to maximize exterior and interior storage,” Eppers emphasized.
Transcend Xplor – An evolution of the original Xplor travel trailer, this segment offers tandem-axle floorplans with one or no slide-outs, measuring up to 30 feet in length and featuring GVWRs under 8,000 pounds. All floorplans feature kitchens that include pull-out trash can storage and an oversized pots and pans drawer, while the bedroom features folding and hanging storage.
Transcend – The premium segment, with GVWRs between 8,000 and 10,000 pounds, includes single, double, and triple slide-out options. Standard features encompass an exterior kitchen with a cast iron griddle and refrigerator, a bedroom laundry chute, and various amenities designed to enhance the camping experience. “What excites me is getting a customer into the Grand Design family of products at an earlier purchase point than I think we have ever seen historically,” Eppers stated.
Each Transcend model integrates solar power capabilities with standard wiring for 600 watts of solar panels, a 30amp solar controller prep, and a 2,000-watt inverter prep wired to every outlet in the RV. “So, if our customers do want to get off the grid and not camp at a site with hookups, they
have the opportunity to do so at a level where they can actually run most appliances in their unit,” Eppers explained.
Additional features across all segments cater to pet owners, including built-in pet food and water bowls, and exterior leash links that double as bottle openers. Music enthusiasts will appreciate the JBL sound system with interior and exterior speakers. Each RV also comes equipped with paper towel holders, magnetic door catches, and standard 60 x 80 queen-sized beds. A Grand Design-branded fold-up table with dedicated storage is included to meet the demands of consumers.
Eppers is not only focused on providing exceptional budget conscious travel trailers, but also on fostering long-term relationships with Grand Design owners.
